Referral Partner Agreement
This agreement describes the terms and conditions for participation in the MBX Referral Partner program. In this agreement, the term “Referral Partner” refers to you (the applicant). In this agreement, “MBX” refers to Maryland Business Connection LLC, doing business as Making Business Connections, MBX Events and MBX, with whom you are entering this agreement. By applying to the MBX Referral Partner program you are confirming that you have read the agreement and agree to the terms and conditions.
Your participation in the Program is solely to legally advertise our website to receive a commission on memberships purchased by individuals/companies referred to MBX by your own website or personal referrals.
MBX Referral Partners
You do not need to be a member of MBX to join our Referral Partner Program. But, Members do get increased commission rates.
We reserve the right to approve or reject ANY Referral Partner Program Application in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Referral Partner Program Application.
For a membership to generate a commission to a Referral Partner, the customer must complete the enrollment form and remit full payment for the membership level of their choice, either by yearly or monthly payments. Commissions will only be paid on memberships that are made when the customer clicks through qualified, correctly structured Referral Partner links. Properly coded links are the sole responsibility of the Referral Partner. Commissions can be viewed on the Referral Partner Dashboard.
If the Referral Partner is a MBX Member, they will receive a commission for each new membership based on the current Member commission rate for as long as they and the referral remain active members of MBX. Should the Referral Partner cancel their membership, they will be moved to the non-member commission level for all future commissions created.
If the Referral Partner is a NON-MBX Member, they will receive a commission for each new membership based on the current Non-Member commission rate for as long as the referral remains an active member of MBX. Should the referrer join MBX, they will be moved to the MBX referrer rate for new memberships going forward from the date of their MBX enrollment.
You cannot refer yourself. Current commission rates can always be found here.
A Referral Partner will be paid out when the balance reaches a minimum balance of $50 USD. Payments will be paid out via PayPal.
In the event a customer requests a refund for a transaction for which the Referral Partner has earned commissions, any commissions earned on the refund amount will be deducted from the Referral Partner’s balance.
Usage and Obligations
Referral Partners are permitted to use the MBX brand and marketing resources available in the Referral Partners section of the MBX application. Logos and other assets cannot be modified. The Referral Partner does not gain any trademark, copyright or any other rights to these materials.
The Referral Partner will never imply that they are acting on behalf of MBX and will never advertise MBX products directly. Referral Partners are not allowed to run SEM campaigns for our products and services on Google. PPC bidding is NOT allowed without prior written permission. However, you may at your own cost, run ads on Facebook, Instagram, Pinterest, YouTube, LinkedIn and other social media site.
The Referral Partner will never represent themselves, MBX or their relationship with MBX in a false or misleading way.
The Referral Partner will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing MBX.
Term and Termination
Either party has the right to terminate the agreement immediately without prior notice.
Your Referral Partner application and status in the Program may be suspended or terminated for any of the following reasons:
- Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
- Spamming (mass email, mass newsgroup posting, etc.).
- Advertising on sites containing or promoting illegal activities.
- Failure to disclose the affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable state laws.
- Violation of intellectual property rights.
- Offering rebates, coupons, or other form of promised kick-backs from your Referral Partner commission as an incentive.
- Self referrals, fraudulent transactions, suspected fraud.
In addition to the foregoing, MBX reserves the right to terminate any Referral Partner account at any time, for any violations of this Agreement or no reason.
If the Referral Partner terminates the agreement, no further commissions from MBX will be paid for any past or future customer transactions.
If MBX chooses to terminate the agreement, any balance greater than $50 USD will be paid to the affiliate within 60 days of termination unless Referral Partner was terminated with cause state above. Balances that are smaller than $50 will be forfeited.
MBX will not be obligated for any future recurring payments after termination.
Referral Partner Links
You may use graphic and text links both on your website and within in your email messages. You may also advertise the MBX site in online and offline classified ads, magazines, and newspapers.
You may use the graphics and text provided by us, or you may create your own as long as they are deemed appropriate according to the conditions and not in violation as outlined in Term and Termination section.
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Maryland, without regard to its conflict of laws rules.
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of Maryland. An award of arbitration may be confirmed in a court of competent jurisdiction.
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Referral Partner Program rules.
